PACIFIC CONSULTANTS and Project Brain announce business succession through company split (simplified absorption-type split).
PACIFIC CONSULTANTS CO., LTD. (Headquarters: Chiyoda-ku, Tokyo; Representative Director: Osamu Ohmoto; hereinafter referred to as "the Company") will transfer the rights and obligations it holds regarding four public-private partnership projects to its wholly owned subsidiary, Project Brain Corp. (Headquarters: Chiyoda-ku, Tokyo; President and Representative Director: Hiroshi Sakaguchi; hereinafter referred to as "Project Brain") through a company split (simplified absorption-type company split), effective April 1, 2026 (scheduled).

- Yanagishima Sports Park Development Project
This business succession aims to clarify the division of roles within PACIFIC CONSULTANTS GROUP, strengthen expertise in facility management, and further improve service quality. As a construction consultant, we have supported the development of public infrastructure and local communities through public-private partnerships, based on the technical capabilities and knowledge we have cultivated over the years. On the other hand, Project Brain, as the real estate business company of PACIFIC CONSULTANTS GROUP, has accumulated knowledge over approximately 30 years, and its strength lies in business management specializing in public-private partnerships, accumulating a track record from project construction to operation management phases. In order to further promote collaboration within the group that leverages the strengths of both companies, this business succession will consolidate facility management functions into Project Brain, aiming to strengthen expertise and improve service quality. We will support the sustainable operation of Project Brain while utilizing the knowledge we have cultivated through our past public-private partnership projects. There will be no major changes to the operating policies or the basic direction of the services provided for each facility related to the target business. We will continue to provide the same services as before to the people in the communities where each facility is located and to the people who use each facility.
Our company and Project Brain will continue to work together as a group, handling everything from planning and conception to implementation and operation, with the aim of realizing better facility management that contributes to the local community.
