PACIFIC CONSULTANTS GROUP has established a Corporate Group Governance Charter and Basic Policies.

PACIFIC CONSULTANTS GROUP (hereinafter, "Our Group") has adopted the management philosophy of "honing our qualifications as professional consultants and continuing to provide new value to society through advanced integrated solution services" and aims to lead society towards a sustainable future.
Guided by this philosophy, the Group is placing sustainability at the heart of its management and is continuing to transform its Group governance to one that is equipped with swift business decisions, bold business strategies, and execution capabilities.
As part of this, we will establish and disclose Corporate Group Governance Charter and basic policies in order to conduct sound management as a non-listed company with established autonomous governance that will earn the trust of all stakeholders, including employees.
This will promote corporate activities as a new PACIFIC CONSULTANTS GROUP that is resilient to change and crises.

The Group's management will autonomously and continuously take steps to establish and improve Corporate Group governance, always recognize the results, and continue to make unremitting efforts to improve corporate value.

Long-term perspective of improving corporate value and contributing to society

Our group aims not only to generate short-term profits, but also to manage our business with a long-term perspective, to achieve sustainable growth and improve our corporate value, and to contribute to the sustainable development of local communities.

Ensuring transparency and accountability to stakeholders, including shareholders, society, customers, and employees

The Group will ensure management transparency and establish governance by fulfilling appropriate accountability not only to shareholders but also to each of its stakeholders, including society, customers, and employees.

Board of Directors that fulfills its responsibility to achieve sustainable growth and increase corporate value

In order to achieve sustainable growth and increase in corporate value, the Group's Board of Board of Directors will provide a management compass, have an effective supervisory function, and create an environment in which each employee can act autonomously.

Thorough promotion and dissemination of compliance

As a company that is responsible for the development of social infrastructure, our group is strongly aware that thorough compliance is a fundamental premise for management, and will strongly promote compliance while also publicizing our efforts to society in order to serve as a model for the industry.

Basic Policy Corporate Group Governance

Chapter 1 Corporate Group Governance System

As part of the organizational design under the Companies Act, we have adopted a company with Audit & Supervisory Board, where Audit & Supervisory Board Member and supervisory board members audit the execution of duties by Director/Board Member. To complement the functions of Board of Directors, we have established an internal control committee and a voluntary nomination and compensation committee. In addition, we have introduced an Executive Officer system with the aim of accelerating management decisions and business execution, and are promoting efforts to appropriately divide roles among the management team * and further strengthen governance.

Corporate Group Governance System

* Management refers to all Director/Board Member, all Audit & Supervisory Board Member, and Executive Officer with positions of managing director or higher.
Senior management refers to officers involved in execution of business (Director/Board Member, Director/Board Member Executive Officer with titles of Executive Officer President or higher, and Executive Officer with titles of Managing Director or higher).
